Davis Malm Attorneys Provide Legal Insights to Startups at Newton Innovation Center

On November 9, Davis Malm attorneys Brian J. Coughlin, Andrew D. Myers, and Richard L. Sampson, presented the program, “Legal Insights for Entrepreneurs, Startups and Emerging Companies,” to aspiring entrepreneurs and early-stage businesses at the Newton Innovation Center (NIC).

The program addressed legal topics that businesses should consider at various stages of growth, including securing investment, structuring founder and shareholder agreements, protecting trade secrets, developing patent and trademark protections, and addressing immigration issues faced by foreign national entrepreneurs, among other subjects. The intent of the program was to equip early stage companies with the tools to lay proper groundwork and put structures in place for the long-term success of their businesses.

Mr. Coughlin practices in the Business Law area at Davis Malm, focusing on U.S. immigration and global workforce mobility. He counsels established and emerging corporate clients on immigration issues related to employment authorization, company policy drafting, employee training, and general enforcement and regulatory compliance issues. He also advises on immigration due diligence and risk management in connection with corporate mergers, acquisitions, restructuring, and startups.

Mr. Myers practices in the Business Law area at Davis Malm. He concentrates his practice in the representation of emerging businesses in corporate, finance, and securities matters, including mergers and acquisitions, public and private financings, venture capital transactions, and joint ventures. He also handles day-to-day legal matters, such as initial organization, licensing, supply and distribution arrangements, employment arrangements, equity incentive plans, trade secret protection, and Internet commerce agreements.

Mr. Sampson practices in the Intellectual Property area at Davis Malm. He assists clients in obtaining, maintaining, and enforcing patents, trademarks, and copyrights throughout the world. His active patent practice includes providing strategic counseling to clients focused on building patent portfolios, including addressing patent validity, infringement, patentability, and licensing issues, and helping them navigate the complex patent process.

Launched in 2016, the NIC is a joint-collaboration between MassChallenge, the Cambridge Innovation Center, and the City of Newton. The NIC is a startup-friendly collaborative workspace with the mission to catalyze a global renaissance, starting on a local scale.
