On June 10, Davis Malm attorneys Tamsin R. Kaplan co-chaired and Daniel T. Janis presented at the Massachusetts Bar Association Continuing Legal Education “Employment Contracts in Change of Control Transactions: Dos, Don’ts, Tricks and Traps” program. The program focused on some of the employment contract and seller-purchaser negotiation issues that arise when employers go through a change of control.

Ms. Kaplan, Mr. Janis, and the other panelists highlighted traps for the unwary and strategies for avoiding these traps. Additionally, the panelists addressed how to strike a balance between taking good care of existing employees while simultaneously negotiating with a purchaser as a united front, post-change control disputes, and strategies for dispute resolution.

Ms. Kaplan practices in the Business Law, Employment, and Litigation areas. She represents parties involved in business and employment disputes and other civil litigation matters in state and federal courts and agencies. She frequently conducts workplace investigations and trainings on diversity, harassment, and other topics. Ms. Kaplan has extensive experience representing businesses, executives, and other high level professionals on a full range of employment-relates issues, including recruitment, hiring, discrimination, negotiation of employment agreements, breach of contract, non-competes, discipline, and termination. Ms. Kaplan has been on the Labor and Employment Curriculum Advisory Committee of the Massachusetts Continuing Legal Education since 2010, and is the author of the chapter on Employment Agreements in Advising Massachusetts Businesses, a book published by MCLE in 2011. She has been included for several years in the list of Massachusetts Super Lawyers, was selected for the 2014 Top 50 Women New England Super Lawyers, and was selected by her peers for inclusion in The Best Lawyers in America© 2014.

Mr. Janis practices in the Business Law area. He represents public and private companies in a range of financings, transactions and general corporate matters including mergers and acquisitions, syndicated commercial credit facilities, private equity placements, venture capital financings and joint ventures in a variety of industries.
