On September 25, 2007, Davis Malm attorney William F. Griffin, Jr. participated in the Massachusetts Continuing Legal Education seminar "Organizing, Buying & Selling Privately Owned Businesses." The program provided a comprehensive overview on the complex and interdependent issues involved in organizing, buying and/or selling a privately held business. Mr. Griffin and other experienced faculty provided practical advice on the business considerations, tax issues, practical problems, and ethical issues facing both lawyers and business owners. Specific topics included the comparison and selection of business entity; fiduciary duties of officers, directors, and owners; exit strategies; the structure of the sale; and how to avoid practical and ethical pitfalls.
