On September 23, 2008, Davis Malm attorneys William F. Griffin, Jr. and Avi M. Lev directed the Massachusetts Continuing Legal Education seminar "Organizing, Buying & Selling Privately Owned Businesses." The program provided a comprehensive overview of the complex and interdependent issues involved in organizing, buying and selling a privately held business. Specifically, Mr. Griffin and Mr. Lev, along with other experienced faculty, offered practical advice on the business considerations, tax issues, practical problems, and ethical issues facing both lawyers and business owners. Topics included the comparison and selection of business entity; fiduciary duties of officers, directors, and owners; exit strategies; the structure of the sale; and how to avoid practical and ethical pitfalls.

Mr. Griffin served as chair the seminar. He is a seasoned attorney who primarily represents business clients in a variety of transactions, including business organization, financing, real estate acquisition, disposition, development and leasing, mergers and acquisitions, securities and venture capital transactions, and corporate governance matters. He is a frequent speaker at continuing legal education programs, and is the author of numerous articles on business law topics.

Mr. Lev provides tax planning and transactional analysis at the federal, state, and international levels, and he represents taxpayers in disputes with the Internal Revenue Service, Massachusetts Department of Revenue, and other tax authorities. Mr. Lev’s broad tax experience includes designing tax-efficient structures for acquisitions and dispositions of businesses, advising clients as to the tax impacts of critical business decisions, and assisting businesses and individuals in complying with tax laws.
