On November 6, 2008, Davis Malm attorneys William F. Griffin, Jr. and Avi M. Lev served as faculty in the Massachusetts Continuing Legal Education seminar, "A Practical Guide to Organizing a Business." While forming a new business can be one of the most exciting and creative services an attorney performs for his or her client, it is also an undertaking laden with opportunity for misstep, mistake, and failure. This program provided clear explanations and practical advice needed for attorneys to represent any new business and its owners. The program covered topics such as choice of entity, choice of jurisdiction, drafting organization documents, agreements among equity owners, and anticipating exit strategies. Mr. Griffin and Mr. Lev were joined by three other business law experts from the greater Boston area to discuss the choice of business entity and explain the advantages and disadvantages of each option.

Mr. Griffin is a seasoned attorney who primarily represents business clients in a variety of transactions, including business organization, financing, real estate acquisition, disposition, development and leasing, mergers and acquisitions, securities and venture capital transactions, and corporate governance matters. He is a frequent speaker at continuing legal education programs, and is the author of numerous articles on business law topics.

Mr. Lev provides tax planning and transactional analysis at the federal, state, and international levels, and he represents taxpayers in disputes with the Internal Revenue Service, Massachusetts Department of Revenue, and other tax authorities. Mr. Lev’s broad tax experience includes designing tax-efficient structures for acquisitions and dispositions of businesses, advising clients as to the tax impacts of critical business decisions, and assisting businesses and individuals in complying with tax laws.
