Fitzpatrick participated in a seminar on "Fiduciary Duties of Directors, Officers and Owners of Closely-Held Businesses" for Massachusetts Continuing Legal Education, Inc.. Mr. Griffin chaired the panel and Mr. Fitzpatrick was a panelist on the seminar that covered such topics as fiduciary duties of directors, officers and owners of Massachusetts business organizations; how the new Massachusetts Business Corporation Act (G.L. Chapter 156D) affects fiduciary duties of officers and directors; special duties of owners of "close corporations" under Donahue and Wilkes cases; how the Sarbanes-Oxley Act of 2002 affects closely held companies; how to deal with close corporation problem areas; and litigation of fiduciary duty cases. The seminar was appropriate for attorneys representing privately held businesses and business owners.
