Davis Malm attorneys William F. Griffin, Jr. and Thomas S. Fitzpatrick participated in a seminar on "Fiduciary Duties of Directors, Officers and Owners of Closely Held Businesses" for Massachusetts Continuing Legal Education, Inc. Mr. Griffin chaired the panel and Mr. Fitzpatrick was a panelist on the seminar that covered the fiduciary duties of officers, directors and owners of Massachusetts business organizations, recent developments in Massachusetts caselaw, and the provisions of the new Massachusetts Business Corporation Act (G.L. c. 156D) affecting fiduciary duties, and the most frequently occurring types of fiduciary disputes. The seminar also focused on the enhanced duties of utmost good faith and fidelity for stockholders of these "close corporations" and explained how to identify, avoid, and resolve litigating disputes. It was appropriate for attorneys representing privately-held businesses and business owners.
