William F. Griffin, Jr. and Andrew D. Myers Serve as Faculty Members at MCLE’s SEC Update 2013 Program

On September 12, William F. Griffin, Jr. served as chair and Andrew D. Myers served as a faculty member at the Massachusetts Continuing Legal Education’s program, “SEC Update 2013: The JOBS Act one year later - and the latest SEC rulemaking.”

Mr. Griffin provided an overview of the JOBS Act, including the SEC’s progress in adopting regulations to implement the changes mandated by various titles of the act. The focus of Mr. Myers’ presentation was the recent amendments to Rule 506, which now permits general solicitation and advertising for fundraising, provided that certain conditions are met. He also discussed the disqualification of Rule 506 offerings under new “bad actor” rules, and the SEC’s new proposed rules to amend Rule 506 to mandate new filing requirements.

Mr. Griffin has extensive experience with sophisticated business and financial transaction, including mergers and acquisitions, public offerings and private placements of equity and debt securities, venture capital financing, tax-exempt bond financings, tax shelter syndications, equipment lease transactions, state and municipal finance, foreign investment in U.S. real estate, and bank and utility regulation. He also has extensive experience in real estate transactions, including condominiums, subdivisions, mortgages and mortgage foreclosures, commercial leasing, construction and permanent financing, as well as zoning practice, litigation, work-outs and asset recoveries.

Mr. Myers concentrates his practice in the representation of emerging businesses in corporate, finance, and securities matters, including mergers and acquisitions, public and private financings, venture capital transactions, and joint ventures. He also handles day-to-day legal matters, such as initial organization, licensing, supply and distribution arrangements, employment arrangements, equity incentive plans, trade secret protection, and Internet commerce agreements. Mr. Myers also represents venture capital firms in early stage and mezzanine financing transactions, and private equity firms in investments, buy-outs and restructurings.
