On January 17, 2019, Davis Malm shareholders Richard J. Hindlian and Andrew D. Myers presented on “Tax Considerations for Emerging Cannabis Businesses” at the Massachusetts Society of Certified Public Accountants’ (MSCPA) State Tax Conference. The program provided an overview of Massachusetts cannabis law and state and federal tax issues. It also explored the considerations for organizations converting from non-profit to for-profit entities, examined ways in which state taxes vary for medical and recreational marijuana businesses, and reviewed the tax repercussions for businesses under Section 280E of the Internal Revenue Code.

Mr. Hindlian practices in the Tax and Business Law areas at Davis Malm. He has over 45 years of experience counseling on tax controversies, international and domestic tax planning, and employee benefit plans. Mr. Hindlian routinely represents publicly held and private corporations, banks, individuals, nonprofit organizations, and other entities in matters involving mergers and acquisitions, public and private offerings of debt and equity securities, venture capital financings, leveraged buyouts, ESOPs and other qualified plans, leasing transactions, tax litigation, estate tax planning, and foreign investments made in the United States and overseas.

Mr. Myers practices in the Business Law area at Davis Malm. For over 25 years, Mr. Myers has represented emerging businesses in corporate, finance, and securities matters, including mergers and acquisitions, public and private financings, venture capital transactions, and joint ventures. His clients operate in a wide range of industries, including cannabis, software, advanced materials, medical devices, manufacturing, computer peripherals, internet commerce, consumer products, service industries, distribution, and entertainment, among others.
