On February 9, 2018, Davis Malm shareholders Joshua S. Grossman and Gary S. Matsko presented at the Massachusetts Continuing Legal Education (MCLE) 17th Annual Business Litigation Conference.

Mr. Grossman returned for the second year as co-chair of the conference. Mr. Matsko’s panel, “Unexpected Liabilities and Exposures,” discussed unforeseen issues, including the role of the de facto merger doctrine in the sale of corporate assets, provide insight into how courts apply the de facto merger doctrine to avoid unfairness to stockholders or creditors, and analyze the conditions that may be imposed to avoid possible application of the doctrine. Panelists also explored how third parties may be held accountable for fiduciary breaches and for 93A, and how attorneys can be liable to minority shareholders for assisting the majority in minority freeze-outs.

Mr. Grossman concentrates his practice on business litigation and general business counseling. He is a trial lawyer with experience in a range of areas, including shareholder disputes, insurance coverage, products liability, securities defense, trusts, probate, ERISA, contracts, condominiums, real estate, and construction.

Mr. Matsko practices in the Business Law and Litigation areas representing individuals and business entities in civil litigation and before regulatory agencies, including the Securities and Exchange Commission. He has represented parties in actions in several state and federal courts throughout the United States, as well as in arbitration proceedings.
