Practice Focus and Experience


Richard Hindlian practices in the Tax and Business Law areas, focusing primarily on tax controversies, international and domestic tax planning and employee benefit plans. He represents publicly held and private corporations, banks, individuals, nonprofit organizations, and other entities in matters involving mergers and acquisitions, public and private offerings of debt and equity securities, venture capital financings, leveraged buyouts, ESOPs and other qualified plans, leasing transactions, tax litigation, estate tax planning, and foreign investments made in the United States and overseas.

With extensive experience in all aspects of plan sponsor employee benefits, Richard handles the design, qualification and implementation of pension, 401(k), profit-sharing and other qualified plans, multiemployer benefit plans, stock options and similar equity-oriented plans, as well as plan transfers, mergers, and terminations resulting from mergers and acquisitions, fiduciary matters, executive compensation, nonqualified deferred compensation arrangements, and ERISA-related matters, including litigation.

Richard has represented state government and church sponsored plans that are exempt from ERISA, including the creation and management of section 457(b) and 457(f) plans for tax-exempt organizations, and governmental and tax-exempt charity employer pension plans. He often represents clients in matters with the Internal Revenue Service and U.S. Department of Labor, as well as the Pension Benefit Guaranty Corporation (PBGC). Richard has extensive experience with the design, implementation, operation, and communication of welfare benefit plans, including serving as an expert witness in federal court.

Richard has practiced law for over 45 years, most recently as a partner at Holland & Knight LLP. Prior to his legal career, Richard was an accountant with Ernst & Young in Boston.
